The episode was triggered by two concurrent M&A scenarios. A potential "merger of equals" between Pernod Ricard and Brown-Forman. And a reported $15 billion cash offer from Sazerac for Brown-Forman. Neither confirmed. Both are already reshaping how the industry reads the board.

The two deals are not the same problem

A Pernod Ricard and Brown-Forman combination produces geographic complementarity: Pernod needs the US, Brown-Forman needs global distribution reach. A Sazerac and Brown-Forman combination concentrates rather than complements, with both companies heavily weighted toward American whiskey and a likely antitrust review timeline of two or more years.
